Career Capital Ltd

Version 1.0 · Effective 31 October 2026 These terms apply to every engagement made on or after the effective date, and to each existing client from the date they agree to an engagement letter on these terms.

About us and these terms

1.1 Who we are: Career Capital Ltd is a company registered in England and Wales (company number 15702804), registered office 82a James Carter Road, Mildenhall, Bury St Edmunds IP28 7DE, email matthias@careercapital.one. In these terms “we”, “us” and “our” mean Career Capital Ltd. “You” means the client named in the engagement letter.

1.2 The contract: Our contract with you is made up of (a) the engagement letter you have agreed to, (b) these terms and (c) our privacy notice, which is for information and is not a contract term. If the engagement letter and these terms conflict, the engagement letter applies. These terms apply instead of any terms you propose, including a business client’s own purchasing or supplier terms.

1.3 When the contract starts: The contract is formed when both parties have agreed to the engagement letter in writing, including by signing it (electronically or otherwise) or by confirming agreement by email. Where you book and pay for a session through our online booking page without an engagement letter, the contract is formed when you complete the booking and accept these terms on that page. We will send you a copy of the agreed letter, these terms (with their version number) and our privacy notice by email straight away. Any change to these terms or the engagement letter must be agreed by email; nothing said by phone, video call or messaging app changes them.

1.4 Consumer and business clients: You are a consumer client if you engage us for your own career and pay for the services yourself. You are a business client if a company, partnership or other organisation engages us or pays for the services, including where an employer pays for consulting services for an individual. The engagement letter records which applies. Clauses marked “Consumer clients” or “Business clients” apply only to that type of client; all other clauses apply to both.

1.5 Your statutory rights: If you are a consumer client, nothing in these terms affects your legal rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Advice on your rights is available from Citizens Advice.

1.6 Changes: We may update these terms for future engagements. Changes apply to an existing engagement only if you agree to them in writing, including by agreeing to a new engagement letter.

1.7 No commitment to further sessions: The engagement letter and these terms form a framework agreement that governs every session you book with us. Neither of us is obliged to book or provide any further session, and no fees arise unless a session is booked and delivered, a charge applies under clause 3.8, or additional work is agreed under clause 3.1.

1.8 “In writing”: In these terms, “in writing” means by email, and also by WhatsApp where these terms say so.

2. Our services

2.1 What we do: We provide one-to-one career consulting sessions for professionals in financial services. Sessions cover your situation, options, preparation for conversations and decisions, and related preparation, such as for performance reviews, promotion and pay discussions, and negotiations. The engagement letter sets out the agreed scope.

2.2 What we do not do:
We are not an employment agency or recruiter. We do not find or place you in a job, and we do not act for any employer in hiring you. We do not negotiate with employers on your behalf unless the engagement letter says so in writing. We advise clients on their current role and career. If you move to a new employer, our advice relates to handling a move to a role you have already secured yourself, such as resignation, notice, contractual terms and transition. We do not help you search or apply for roles, and we do not prepare you for interviews or applications with other employers. From time to time we may, at our discretion and with your agreement under clause 6, introduce you to someone in our professional network for advice or information relevant to your situation. We do not make introductions to potential employers for the purpose of you obtaining employment. Introductions are not part of the services: we charge no fee and bill no time for them, we receive no payment or other benefit from anyone for them, and whether you pursue one is entirely your decision.

2.3 Consulting third parties: We may consult people in our professional network about your situation, for example to test options, understand a market or prepare you for a conversation. We do this without identifying you unless you have agreed otherwise under clause 6. Time spent on this is charged as consulting time under clause 3. It is shown on our invoices as a separate line with the date, duration and purpose, and we will tell you in advance if we expect it to exceed 2 hours in any calendar quarter. We do not charge for, or bill time spent on, any discussion with a prospective employer or recruiter about employing you, or on making an introduction. If you take up employment with anyone we have spoken to, that is your own decision and does not entitle us to any fee.

2.4 No guaranteed outcome: We will provide the services with reasonable care and skill. We cannot guarantee any result, such as a job offer, promotion, pay rise or bonus, or a particular outcome where you face redundancy, dismissal(including for cause), a disciplinary process, or an internal, regulatory or other external investigation. We never advise on legal matters, including your legal rights, employment or regulatory law, or the legal merits or risks of any process or settlement. In those situations you should take independent legal advice promptly, as strict time limits may apply to your rights. Decisions you make, and their consequences, are yours.

2.5 Not regulated advice: Our services are not legal, tax, financial, investment, medical or psychological advice. Where you need such advice, for example on an employment dispute, settlement agreement or a regulatory matter, you should consult a suitably qualified professional. We can suggest that you do so but we do not act in that capacity.

2.6 Who delivers the services: Sessions are delivered by the consultant named in the engagement letter. Other consultants may support your matter. Each is bound by a written confidentiality agreement, works under our supervision and receives only the information needed for the task. We remain responsible for the services. If we need to change the named consultant, we will tell you in writing first, and you may end the contract under clause 4.5 if you do not agree.

2.7 How we describe our services: Our services consist solely of individual advice and consulting on your specific situation. They are not a course, training programme or instruction: there is no curriculum, sessions do not build on one another, and we do not monitor, test or assess your learning progress. Our website and marketing may use terms such as coaching, consulting or advisory. Whatever term is used, the services are those described in this clause and clause 2.1, they do not include finding or placing you in work, and these terms and the engagement letter prevail over any other description.

3. Fees and payment

3.1 Fees are for our time only: Our fees are charged only for consulting time we provide, at the rates in the engagement letter. The engagement letter states how much preparation, follow-up and research time is included in each session. Follow-up or research beyond that is charged at the session rate per hour, in units of 15 minutes. We will tell you in advance and ask for your agreement, which may be given by email or WhatsApp, before doing chargeable work on top of what is included, except time spent consulting third parties, which is governed by clause 2.3. No fee or bonus is payable because you obtain, accept or start a job, promotion or pay rise, whether or not we were involved.

3.2 Fee basis: We charge a fixed session rate, stated in the engagement letter or on our booking page, for each session of 60 minutes together with the preparation and follow-up time it includes. The same rate applies per hour to any extra time under clauses 2.3 and 3.1. Introductory sessions and first sessions booked online may be paid at the time of booking. Other fees are invoiced as set out in clause 3.4.

3.3 Price information: Rates are agreed individually with each client, based on the client’s seniority and the scope of support needed. The agreed rate and currency, which is normally the currency of the client’s home country, are stated in the engagement letter or on our booking page before the contract is formed. We are not currently registered for VAT, so no VAT is charged. If we register for VAT, we will notify you in writing at least 30 days before VAT applies, and VAT may then be charged on work done after that date. If you are a consumer client and do not accept this, you may end the contract under clause 4.5 before VAT applies. Expenses are charged only if agreed in writing in advance.

3.4 Invoices and time records: We invoice quarterly in arrears. We may change the invoicing interval, or require payment in advance, for sessions booked after we tell you in writing. Each invoice lists the dates and time spent. Invoices are payable by bank transfer to the account shown on the invoice within 14 days (consumer clients) or 30 days (business clients) of the invoice date.

3.5 Disputed invoices: If you disagree with an invoice, tell us in writing within 14 days, explaining why. Please pay any undisputed part on time. We will respond within 14 days.

3.6 Late payment:
1. We will send a written reminder at least 7 days before taking further action.
2. We may pause further sessions until overdue sums are paid.
3. Consumer clients: we may charge interest on overdue sums at 4% a year above the Bank of England base rate from the due date until payment.
4. Business clients: we may claim statutory interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
5. If a debt remains unpaid, we may use a debt-collection agent and, where we no longer hold a working address, a licensed tracing agent, as described in our privacy notice. For consumer clients we will follow the Pre-Action Protocol for Debt Claims before starting court proceedings.
6. You must pay our reasonable costs of recovering overdue sums, including the fees of any debt-collection or tracing agent we instruct. For business clients, this applies in addition to, and to the extent it exceeds, the fixed compensation under the 1998 Act.

3.7 Payments in advance: If you have paid in advance for a session that does not take place, we will refund that payment within 14 days, unless the session was missed or cancelled late under clause 3.8.

3.8 Missed or late-cancelled sessions: You may rearrange a session free of charge with at least 48 hours’ notice. A session missed or cancelled with less notice may be charged in full, unless the reason was outside your reasonable control. You may show that our loss was lower, or that we suffered no loss, in which case we will charge only that lower amount.

4. Cancellation and ending the contract

4.1 Consumer clients: your right to cancel. You have the right to cancel this contract within 14 days without giving any reason. The cancellation period ends 14 days after the day the contract is formed under clause 1.3.
4.2 How to cancel: Tell us clearly before the period ends by email to matthias@careercapital.one. You may use the model cancellation form at the end of the engagement letter, but you do not have to. It is enough to send your notice before the period ends.
4.3 Effect of cancelling: If you cancel, we will refund all payments received from you within 14 days of receiving your notice, using the same payment method unless you agree otherwise, less any amount due under clause 4.4. You will not pay any fee for the refund.
4.4 Starting sessions within the 14 days: We will not start any session during the cancellation period unless you expressly ask us to in writing, using the early-start request in the engagement letter or on our booking page. If you make that request:
1. you keep your right to cancel during the 14 days;
2. if you cancel, you must pay a proportionate amount for the services provided up to the time you tell us you are cancelling; and
3. you will lose your right to cancel once the services have been fully provided within the 14 days, which you acknowledge by making the request.
4.5 Ending the contract after the cancellation period: Either party may end the contract at any time by giving written notice. You pay only for sessions and agreed work already provided, and any refund under clause 3.7 applies. If you end the contract less than 48 hours before a booked session, clause 3.8 applies to that session. Any sessions booked further ahead are cancelled free of charge.

4.6 When we may end the contract: We may end the contract by written notice if you do not pay an undisputed invoice within 14 days of a reminder, if you seriously or repeatedly breach these terms, or if continuing would create a conflict of interest we cannot manage.
4.7 Business clients: The statutory cancellation right in clauses 4.1 to 4.4 does not apply to business clients. Clauses 4.5 and 4.6 apply.
4.8 What survives: Clauses 3 (fees due), 5.5 (our materials), 6 (confidentiality and records), 7 (liability), 8 (complaints
and disputes) and 9 (general) continue after the contract ends.

5. Your responsibilities

5.1 Details we need before we start: We will not provide any session after an introductory session until you have given us:
• your full name;
• your postal address, with proof of address such as a utility bill or bank statement dated within the last three months (for business clients, the billing address and a named contact);
• a mobile phone number and a personal email address that you control (not a work email). We check the proof of address, record that we have done so, and then delete our copy.
5.2 Keeping your details up to date: Please tell us in writing within 14 days if any of these details change.
5.3 Telling us when you start a new role: Please tell us in writing within 14 days of starting a new job or internal role during the engagement, and the name of the new employer. We need this to check for conflicts of interest with other clients and to keep the agreed scope accurate. It does not trigger any fee.
5.4 Accurate information: Our advice depends on what you tell us. Please give us accurate and complete information and tell us of any confidentiality obligations you owe to your employer that limit what you can share.
5.5 Our materials: Materials we prepare for you are for your personal use. Please do not publish them or share them beyond your advisers without our consent. We keep copyright in our own materials; you keep all rights in your own documents.
5.6 If something you need to do is delayed: If you do not provide information or do something these terms require, and this prevents or delays our work, we may pause the services until it is resolved, and we are not responsible for the resulting delay.

6. Confidentiality, consent and records

6.1 Confidentiality: We keep everything you tell us confidential. We disclose information about you only: (a) as set out in clauses 6.2 and 6.3; (b) to our professional advisers, accountants, insurers and the consultants referred to in clause 2.6, who are bound by confidentiality; (c) to recover unpaid fees, as described in clause 3.6 and our privacy notice; (d) to service providers, including software and AI tools, that process it on our behalf, as described in our privacy notice; or (e) where the law, a court, a regulator or a tax authority such as HM Revenue & Customs requires it.
6.2 Discussing your situation without identifying you: We may discuss your situation with people in our professional network without identifying you, for the purposes described in clause 2.3. In these discussions we do not disclose your name, employer, or any detail that would allow you to be identified. You agree to this by agreeing to the engagement letter.
6.3 Sharing details that identify you: We will not share your name, employer or any other detail that identifies you with anyone outside the exceptions in clause 6.1, including for an introduction under clause 2.2, unless you have first confirmed in writing who we may share it with and what we may share. Confirmation may be given by email or WhatsApp. We keep a record of each confirmation, so the record remains even if the original message is later deleted. Details of your health or similarly sensitive matters are shared only with your explicit written consent for that specific disclosure.
6.4 Recording sessions: You may not record any session, call or meeting with us, by audio, video or transcription tool, without our prior written consent. We may record sessions for internal purposes only, such as preparing notes; by agreeing to the engagement letter you acknowledge this. If you are in Germany, or another country where the law requires your consent, we will record only with your consent for that session. Any recording is kept and deleted in line with our privacy notice.

6.5 How we communicate: We communicate with you by email and our business WhatsApp number. To protect your confidential employment information, WhatsApp chats may use disappearing messages. We keep a record of anything important, including fees, agreements and consents, either by confirming it by email or by saving it to your client file at the time. Please use only our business contact details. Messages sent to any personal number or personal account of our consultants are not part of the services, are not monitored for business purposes, and do not count as instructions, notices or consents.

6.6 Records: We keep records of our work for you securely. We use third-party software and service providers, which may include AI tools, to run our business; these are described in our privacy notice. We keep your records for six years after our last work for you, and then delete them, unless we need them longer because of a legal obligation or claim. 6.7 Other clients. We advise other clients, who may include people at your employer or in similar roles. We never share your confidential information with another client. If a conflict of interest arises that we cannot manage, we will tell you that a conflict has arisen, without disclosing another client’s information, and may end the contract under clause 4.6.

7. Our liability

7.1 What we do not exclude: Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded.
7.2 Business clients: If you are a business client, we are not liable for any indirect or consequential loss, or for loss of profit, earnings, bonus, business or opportunity. Our total liability to you under or in connection with the contract is limited to the fees you paid us in the 12 months before the claim arose.

8. Complaints and disputes

8.1 Complaints: If you are unhappy with our services, please email matthias@careercapital.one with the subject “Complaint”, explaining what went wrong and what you would like us to do. We will acknowledge your complaint within 5 working days and give you a full written response within 28 days. If we need longer, we will tell you why and when to expect a response.
8.2 If we cannot resolve your complaint: If we cannot resolve your complaint, our final written response will say so, give you the name and website of an alternative dispute resolution provider, and tell you whether we agree to use it.
8.3 Governing law and courts: These terms and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, and you agree not to bring proceedings in any other country, to the fullest extent permitted by law. If you are a consumer client living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.

9. General

9.1 Notices: Notices under these terms must be in writing and sent by email: to us at matthias@careercapital.one, and to you at the personal email address you gave us under clause 5.1. A notice is received on the business day it is sent, or the next business day if sent after 5pm UK time or on a non-business day.
9.2 If part of these terms is invalid: If a court decides that any part of these terms is invalid or unenforceable, the rest of the terms continue to apply.
9.3 Transfer and third parties: We may transfer our rights and obligations under the contract to another company that takes over our business, and we will tell you in writing if this happens. You may not transfer your rights or obligations without our written consent. No one other than you and us has any right to enforce these terms.

9.4 Events outside our control: We are not responsible for delay or failure caused by events outside our reasonable control, such as illness, technical outages or travel disruption. We will tell you promptly and rearrange affected sessions at no extra charge.
9.5 No waiver: If either of us delays in enforcing a right under these terms, that does not mean the right is given up.
